Terms of Service

Plain terms for using BizBrada. They say who you're dealing with, what we do, what we don't, and what happens if something goes wrong.

Who you're contracting with

BizBrada is operated by Trust Bizbrada Solutions Limited, a company registered in Nigeria with its office at 129 Iju Road, Ifako Ijaiye, Lagos, Nigeria. In these terms, "we", "us" and "BizBrada" mean that company. "You" means the person using BizBrada and, where you set up a business workspace, the business you set it up for.

By creating an account you accept these terms. If you're accepting on behalf of a business, you're confirming you're allowed to bind it. Questions go to hello@bizbrada.com.

What BizBrada is

BizBrada is bookkeeping software for Nigerian businesses. You record money in and money out, we work out where that leaves you on VAT, withholding tax, staff tax, company income tax and your state obligations, and we show it as it builds.

On our paid plans, BizBrada also arranges for a licensed professional to prepare a return and submit it to the relevant revenue authority — federal or state — on your instruction.

Your account

You need an account to use BizBrada, and the details on it must be true. Keep your sign-in to yourself; anything done from your account is treated as done by you.

You can invite people into your business workspace and set what each of them can do. Anyone you invite acts on your behalf, and you're responsible for what they record. Remove them when they leave.

You must be at least 18 to hold an account.

Your records are yours

Everything you enter — sales, expenses, receipts, invoices, staff pay — belongs to you. We store and process it to run the service for you, and for nothing else.

You can export what you've entered at any time. If you close your account, you can take your records with you.

We don't sell your data, we don't share it with lenders, and we don't hand it to anyone without your instruction unless the law obliges us. What that looks like in practice is set out in our Privacy Policy.

What we need from you

  • Record accurately. Every figure we show is derived from what you enter.
  • Keep your registration details current — how the business is registered, its state, and its tax identifiers. These decide which taxes apply.
  • Read a return before it goes anywhere. Nothing is submitted until you have read it and certified that it reflects your business.
  • Answer us when a filing needs something from you. Deadlines don't move because a question went unanswered.

Filing: what we do and where it stops

Where your plan includes it, a licensed professional reviews your prepared return and submits it. We act on the figures you certified, at the time you certified them.

We are not your general tax agent. We do not represent you in a dispute, an audit or a query unless we've agreed to that separately in writing.

If a return is wrong because the records behind it were wrong or incomplete, the resulting tax, interest and penalties are yours. If a return is late or wrong because of something we failed to do after you certified it, tell us and we'll put right what we can, subject to the limits below.

Filing depends on the revenue authority's systems being available and accepting the submission. We can't promise an outcome, an assessment, a clearance certificate or a timeline that is in their hands and not ours.

Plans, billing and cancellation

  • Books is free. You can record, read and export without paying anything.
  • Filed gives an estimate first. After a licensed professional reviews your return, we send a fixed quote. You approve it before we file.
  • Sorted is a monthly subscription, charged in advance, in Nigerian naira.
  • Pricing estimates are shown on our pricing page. Fixed quotes are sent after review and include applicable taxes unless stated otherwise. We'll tell you before a price changes, and a change only takes effect from your next billing period.
  • You can cancel a subscription at any time. It runs to the end of the period you've paid for, and we don't refund part-periods.
  • A fee for a return that has already been prepared or filed isn't refundable. If we charged you in error, or didn't deliver something you paid for, tell us and we'll refund it.
  • If a payment fails, we may pause paid features. Your records stay yours and stay readable.

Using BizBrada properly

Don't use BizBrada to record or file anything you know to be false, to launder money, to impersonate another business, to break into other people's workspaces, to overload or probe the service, or to resell it as your own.

Don't upload anything unlawful, and don't upload other people's personal data unless you have the right to.

Suspension and ending the agreement

You can close your account whenever you like. Export first — we may delete workspace data after closure, subject to records we're required to keep.

We may suspend or close an account that breaches these terms, that we're required to act on by law, or that is being used in a way that puts other users at risk. Where we reasonably can, we'll tell you first and give you a chance to export.

We may retire features or the service itself. If we do, we'll give reasonable notice and time to get your records out.

What we don't promise

BizBrada is provided as it is. We work hard on it, but we don't warrant that it will be uninterrupted, error-free, or that every tax rate and threshold is current at every moment. Nigerian tax rules change, and so do the systems we file into.

Liability

Nothing here limits liability that cannot be limited by Nigerian law, including for fraud or for death or personal injury caused by negligence.

Otherwise, our total liability to you for any claim connected with BizBrada is limited to the fees you paid us in the twelve months before the claim arose.

We are not liable for lost profits, lost business, lost goodwill, or for tax, interest or penalties arising from figures you certified as correct.

Changes to these terms

We may update these terms. If a change materially affects you, we'll tell you by email or in the app before it takes effect. Continuing to use BizBrada after that means you accept the updated terms.

Law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Lagos State have jurisdiction.
